PLEASE READ THESE TERMS CAREFULLY. They form a binding agreement between you and Rewardo Digital Services FZCO when you access or use Orood. Nothing in these Terms limits any mandatory rights that cannot lawfully be excluded under applicable UAE law.
1. Operator and Acceptance
Orood is operated by Rewardo Digital Services FZCO, a company established in Dubai, United Arab Emirates. These Terms of Use (“Terms”) apply equally to the Orood mobile application and the Orood website at https://orood.online, including customer accounts, merchant onboarding, merchant and administrative web dashboards, rewards, vouchers, offers, payments, payouts and related Orood services.
By creating an account, submitting a merchant application, accessing or using Orood, you confirm that you have read, understood and agree to these Terms and the Orood Privacy Policy. If you do not agree, you must not use Orood.
2. Eligibility - 18+ Only
You must be at least 18 years old and legally capable of entering into a binding agreement to use Orood. By registering or using Orood, you represent and warrant that you are 18 or older.
We may request reasonable age or identity verification and may suspend or terminate an account where we reasonably believe the eligibility requirement has not been satisfied.
3. Account Registration and Accuracy
- You must provide accurate, current and complete information when registering or updating an account.
- You must keep your contact information up to date so that we can send security and service notices.
- You may not create an account using another person's identity or credentials without lawful authority.
- You may not sell, assign, rent or transfer a personal Orood account unless we expressly permit it.
- Business users must have authority to act for the merchant they register or administer.
4. Credentials, OTPs and Account Security
You are responsible for maintaining the confidentiality of your password, OTPs and other account credentials and for reasonable security of the devices used to access Orood.
You must not share OTPs or security codes with any person who is not authorised to access your account. Orood may treat activity performed through authenticated credentials as authorised unless we have been notified of compromise or applicable law requires otherwise.
You must promptly contact support@orood.online if you suspect unauthorised access, credential theft or misuse.
5. Nature of the Orood Platform
Orood provides technology that enables customers to discover participating merchants, offers, rewards, vouchers, promotional codes and related benefits. Where applicable, Orood may also facilitate payment, redemption, withdrawal or payout workflows.
Unless Orood is expressly identified as the seller of a product or service, the participating merchant remains responsible for the product or service it supplies, including quality, safety, legality, description, availability, fulfilment and after-sales obligations.
6. Merchant Offers and Promotions
Offers are subject to the specific terms displayed with the offer, which may include validity dates, participating branches, excluded products, minimum spend, availability, redemption limits and other conditions.
A merchant may change or withdraw an offer where permitted by its agreement with Orood and applicable law. Orood may pause, reject or remove an offer that is unlawful, misleading, expired, technically invalid, abusive or inconsistent with platform rules.
If offer-specific terms conflict with these Terms, these Terms govern the use of Orood, while the specific offer terms govern eligibility and redemption of that offer, subject always to mandatory law.
7. Orood Points, Stars and Loyalty Benefits
Orood may award or permit users to earn Points, Stars or other loyalty units. Unless expressly stated otherwise, such units are promotional loyalty benefits and are not bank deposits, stored-value accounts, legal tender or interest-bearing financial products.
Points, Stars and other loyalty benefits may be subject to earning rules, minimum thresholds, expiry, eligibility, fraud controls and programme-specific restrictions displayed in Orood.
Where Orood expressly makes a withdrawal or cash-out feature available, that feature is governed by the withdrawal rules in these Terms and any specific conditions displayed before submission.
Orood may correct an account balance where a reward was credited or deducted incorrectly because of a technical error, duplicate event, reversed transaction, merchant correction, refund, fraud or other demonstrable error.
8. Vouchers and Coupon Codes
Vouchers and coupon codes may be subject to value, validity, merchant, branch, product, redemption and usage restrictions displayed at the time they are issued or redeemed.
- A voucher or code may be single-use and may become invalid after redemption.
- You are responsible for keeping voucher codes and account access secure.
- A voucher may not be resold or commercially transferred unless Orood expressly permits it.
- Where a code was issued because of fraud, abuse, technical error or an invalid transaction, Orood may cancel or reverse it to the extent permitted by law.
9. Games, Campaigns and Promotional Activities
Where Orood offers games, draws, promotional campaigns or limited-attempt activities, additional rules may apply. Participation is subject to eligibility, attempt limits, prize conditions, campaign dates and any specific rules shown in the app or website.
Orood may disqualify entries or reverse rewards obtained through manipulation, automation, duplicate accounts, collusion, abuse or violation of campaign rules.
10. Payments
Where a payment feature is available, payments may be processed by third-party payment-service providers, card networks, banks, Apple Pay, Google Pay or other supported methods.
A payment is considered completed only when Orood receives or records an authoritative successful status from the relevant payment flow. A screen redirect, pending message or user screenshot alone does not conclusively establish payment.
You authorise the transmission of information reasonably required to process, authenticate, reconcile, refund or investigate a payment. Payment-provider terms may also apply.
11. Refunds, Reversals and Failed Transactions
Refund and cancellation rights depend on applicable law, the underlying merchant transaction, the merchant's lawful terms and the relevant payment method.
Where a payment is reversed, refunded, charged back or found to be invalid, Orood may reverse associated Points, Stars, vouchers, rewards or other benefits to the extent reasonably connected to that transaction and permitted by law.
Nothing in these Terms limits statutory refund, cancellation or consumer rights that cannot lawfully be excluded.
12. Withdrawals and Payouts
Where Orood makes withdrawals or payouts available, you must provide accurate and valid bank or payout details and satisfy any eligibility, minimum-value, verification and anti-fraud requirements.
Withdrawal requests may be subject to manual review and banking processing time. Orood may place a request on hold, request additional information, or require further verification where information is incomplete, inconsistent, suspicious, disputed, technically anomalous or legally restricted.
A withdrawal is treated as completed when the relevant payout has been processed and recorded as completed by Orood. You are responsible for losses caused by bank details you provided incorrectly, except to the extent caused by Orood's own breach, negligence or mandatory legal responsibility.
Orood reserves the right, acting reasonably and subject to applicable law, to decline, reject, suspend or cancel a withdrawal or payout request, in whole or in part, including where: (a) the user does not satisfy the applicable eligibility or minimum-balance requirements; (b) the available or verified balance is insufficient; (c) the request or underlying rewards are connected to a reversed, refunded, disputed, duplicated or invalid transaction; (d) fraud, abuse, account compromise, money laundering, sanctions, misuse or other suspicious activity is suspected; (e) bank, identity or account information cannot be verified or is inaccurate; (f) the request breaches these Terms, programme rules or applicable law; (g) a bank, payment provider, regulator, court or competent authority restricts or prevents the payout; or (h) a material technical, reconciliation or security issue must first be resolved.
The availability of a withdrawal feature does not create an unconditional entitlement to cash conversion or payment. A withdrawal becomes payable only after the request has passed Orood’s applicable eligibility, verification, fraud-prevention and reconciliation checks and has been approved for processing. Where a withdrawal is refused, any underlying eligible Points or balance will remain subject to the applicable programme rules unless they are separately reversed, expired or forfeited for a lawful reason.
Where required by applicable law, Orood will provide an appropriate explanation, review or complaint pathway for a refused withdrawal. Nothing in this Section permits Orood to withhold funds that a user has a mandatory legal right to receive.
13. Merchant Applications and Merchant Accounts
Submitting a merchant application does not create a right to be accepted. Orood may conduct reasonable verification, request supporting information, approve or reject an application, or require corrections before activation.
If a merchant application is approved, Orood may create merchant credentials and provide access to the vendor dashboard. Merchant users are responsible for keeping credentials confidential and limiting access to authorised staff.
Orood may suspend, restrict or terminate merchant access for material breach, fraud, misleading offers, expired or invalid trade documentation, unlawful conduct, non-payment, security risk or other grounds permitted by the merchant agreement or applicable law.
14. Merchant Responsibilities
- Provide truthful, current and lawful business information.
- Maintain required licences, approvals and permits.
- Honour approved offers, vouchers and redemptions in accordance with their published terms.
- Ensure products, services, advertising and promotions comply with applicable law.
- Protect customer information received through Orood and use it only for authorised purposes.
- Maintain accurate branch, contact, settlement and offer information.
- Cooperate in good faith with reasonable transaction, fraud, refund and customer-support investigations.
15. Acceptable Use and Prohibited Conduct
You must not use Orood to:
- Commit fraud, impersonation, theft, money laundering or any unlawful activity.
- Create false, duplicate or misleading accounts.
- Manipulate Points, Stars, rewards, games, vouchers, payments, referrals, offers or redemption systems.
- Attempt unauthorised access to accounts, systems, APIs, databases or infrastructure.
- Circumvent security controls, rate limits, eligibility checks or redemption restrictions.
- Introduce malware, malicious code or harmful traffic.
- Scrape, copy, reverse engineer or systematically extract protected platform data except where expressly permitted by law.
- Use bots or automation to obtain benefits unfairly or interfere with platform operation.
- Harass, defraud or mislead Orood, merchants, staff or other users.
- Use Orood in a manner that infringes intellectual-property, privacy or other legal rights.
16. Communications
You agree that Orood may send transactional communications necessary to operate or secure the service, including OTPs, password resets, payment confirmations, merchant onboarding, reward notices, voucher notices and important account or service information.
Marketing communications are subject to applicable law and available opt-out mechanisms. Opting out of marketing does not stop essential service or security messages.
17. Intellectual Property and Limited Licence
Orood, its software, interfaces, logos, designs, text, graphics, databases and other platform materials are owned by Rewardo Digital Services FZCO or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable right to access and use Orood for its intended purposes. No other rights are granted by implication.
18. Third-Party Services
Orood may integrate with merchants, payment providers, banks, map providers, app stores, communications providers and other third parties. Third-party services may be subject to separate terms and policies, and Orood is not responsible for independent acts or omissions outside our reasonable control.
19. Privacy
Our processing of personal data is described in the Orood Privacy Policy. By using Orood, you acknowledge that personal data will be processed as described in that policy and as otherwise permitted by applicable law.
20. Suspension, Restriction and Termination
We may restrict, suspend or terminate access where reasonably necessary to protect users, merchants, Orood, payment systems or third parties; investigate suspected fraud or abuse; comply with law; address a material breach; or respond to a serious security risk.
Where appropriate and legally permitted, we may request verification or corrective action before restoring access.
Termination does not affect accrued rights, completed transactions, obligations intended to survive termination, or records that must lawfully be retained.
21. Platform Availability, Maintenance and Changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Orood may be temporarily unavailable because of maintenance, upgrades, provider outages, emergency repairs, security incidents or events beyond our reasonable control.
We may change, improve or discontinue features, provided we do not unlawfully deprive users of accrued statutory rights or completed entitlements.
22. Errors and Corrections
If Orood displays an obvious technical, pricing, reward or balance error, we may investigate and correct the error. Before making an adverse correction affecting a completed transaction, we will consider the relevant evidence and any mandatory consumer rights.
23. Disclaimers
To the maximum extent permitted by applicable law, Orood is provided on an “as available” basis. We do not guarantee that every merchant offer will remain available, that every third-party service will operate without interruption, or that a merchant will continuously stock a particular product or service.
Nothing in these Terms excludes any warranty, duty or remedy that cannot lawfully be excluded or restricted.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Rewardo Digital Services FZCO will not be liable for indirect, incidental, special or consequential loss arising solely from matters outside our reasonable control, including independent merchant conduct, third-party outages or unauthorised use caused by a user's failure to protect credentials.
This limitation does not apply where liability cannot legally be excluded or limited, including liability arising from fraud, wilful misconduct, or other liability that mandatory law requires us to bear.
Any limitation in these Terms must be interpreted consistently with applicable UAE consumer-protection law and other mandatory rights.
25. Indemnity for Business and Merchant Users
If you use Orood as a merchant or on behalf of a business, you agree, to the extent permitted by law, to indemnify Rewardo Digital Services FZCO against third-party claims, losses and reasonable costs arising from your unlawful products or services, false merchant information, unauthorised promotions, infringement of third-party rights, misuse of customer data or material breach of these Terms or a merchant agreement.
This section does not impose an indemnity on an individual consumer for exercising mandatory legal rights.
26. Force Majeure
Neither party will be responsible for delay or failure caused by an event beyond its reasonable control, such as major telecommunications failure, natural disaster, war, civil disorder, government action, widespread cyber incident, payment-network failure or infrastructure outage, except where applicable law requires otherwise.
27. App Store Terms
If you download Orood through Apple App Store or Google Play, the relevant store's terms may also apply. The app-store provider is not responsible for Orood's merchant offers, rewards or customer support except to the extent required under its own terms.
Where an app-store rule requires account-deletion functionality, Orood will provide the applicable deletion pathway. Any store-level subscription, purchase or refund rules apply where relevant.
28. Changes to These Terms
We may update these Terms to reflect changes in the service, business, law, security requirements or platform rules. The updated version will be published with a revised effective date.
Where a change materially affects existing rights and applicable law requires advance notice or consent, we will provide the required notice or obtain consent before the change takes effect.
29. Governing Law and Jurisdiction
These Terms are governed by the applicable federal laws of the United Arab Emirates and the laws and regulations applicable in the Emirate of Dubai.
Subject to any mandatory consumer-protection or jurisdictional rights that apply, disputes arising out of or in connection with Orood or these Terms will be submitted to the competent courts of Dubai, United Arab Emirates.
30. Consumer Rights
Nothing in these Terms is intended to waive, restrict or exclude rights or remedies that cannot lawfully be waived under Federal Law No. 15 of 2020 on Consumer Protection, its Executive Regulations, or other applicable UAE law.
31. Electronic Communications and Records
You agree that notices, confirmations, OTPs, consents, approvals, records and other communications may be provided electronically where permitted by law. Electronic records and transactions may be used to evidence platform activity in accordance with applicable UAE law, including Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.
32. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise. Rewardo Digital Services FZCO may assign these Terms as part of a bona fide merger, restructuring, financing, sale of business or transfer of the Orood service, subject to applicable law.
33. Severability and No Waiver
If any provision is held invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
A failure or delay in enforcing a provision does not waive the right to enforce it later.
34. Entire Agreement and Priority
These Terms, the Orood Privacy Policy and any specific terms expressly incorporated into a transaction or programme form the agreement governing your use of Orood.
For merchants, a separately executed merchant or commercial agreement may contain additional terms. If there is a conflict, the separately executed agreement prevails for the merchant's commercial relationship, while these Terms continue to govern general platform use unless that agreement expressly states otherwise.
